Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely information, materials, and approvals as reasonably required
• Designate an authorized point of contact for the engagement
• Review and respond to deliverables, proposals, and communications in a timely manner
• Notify us promptly of any changes that may affect the scope or delivery of services
• Ensure that any information or materials you provide do not infringe the rights of any third party

Delays caused by your failure to meet these responsibilities may impact timelines and deliverables, and Crimson Arc Consulting shall not be held liable for such delays.

Payment & Fees

Fees for services are set out in the applicable proposal or consulting agreement. Unless otherwise specified:

• Invoices are due within the timeframe specified in the applicable agreement
• Late payments may be subject to interest charges as outlined in the applicable agreement
• Expenses incurred on your behalf (travel, venue deposits, vendor fees, etc.) will be invoiced separately unless included in a fixed-fee arrangement
• Deposits or retainers, where required, are non-refundable unless otherwise agreed in writing

All fees are in US dollars unless otherwise stated. We reserve the right to suspend services for accounts with outstanding balances.

Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive or have access to confidential information belonging to the other. We treat all client information with the utmost discretion and professionalism.

We will not disclose your confidential information to any third party without your prior written consent, except as required by law or as necessary to deliver the agreed services (e.g., to trusted subcontractors or vendors, who are subject to equivalent confidentiality obligations).

Intellectual Property

Your materials: You retain all rights to materials, data, and content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the agreed services.

Limitation of Liability

To the fullest extent permitted by applicable law, Crimson Arc Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, data, goodwill, or business opportunities.

Our total liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to Crimson Arc Consulting in the three months preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

Termination

Either party may terminate a service engagement as set out in the applicable consulting agreement. In the absence of specific termination terms:

• Either party may terminate with written notice as agreed at the outset of the engagement
• You remain responsible for payment of fees for services rendered up to the date of termination
• Non-refundable deposits or retainers are not returned upon termination unless the termination is due to our material breach
• Termination does not affect accrued rights or obligations of either party

We reserve the right to terminate or suspend your access to our website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Dispute Resolution

In the event of any dispute arising from or related to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation.
